These Terms of Service ("Terms") govern your access to and use of the services provided by Capital Group Unlimited ("CGU," "we," "us," or "our"), a DBA of DGP Trust. By using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.
1. Acceptance of Terms
By accessing or using any CGU service — including our website, client portal, AI-powered business tools, and professional services — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
We reserve the right to update these Terms at any time. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
2. Services Provided
CGU provides AI-powered professional services, including but not limited to:
- Tax Preparation: AI-assisted tax filing, deduction analysis, and compliance review.
- Bookkeeping: Automated expense tracking, receipt processing (OCR), financial categorization, and reporting.
- Business Consulting: Lead generation, market research, data enrichment, and strategic analysis.
- Invoice Management: Invoice creation, delivery, payment tracking, and automated reminders.
- Contract Generation: AI-drafted legal contracts with compliance review.
- CRM & Client Management: Contact management, deal pipeline tracking, and lead scoring.
- Payment Processing: Invoice payments via Stripe, bank account connectivity via Plaid.
Service availability and features may change without prior notice.
3. Account Registration
Certain services require you to provide accurate and complete information. You are responsible for:
- Maintaining the accuracy of your account information.
- Safeguarding your login credentials and API keys.
- All activity that occurs under your account.
You must notify us immediately at [email protected] if you suspect unauthorized access to your account.
4. Fees and Payment
- Service fees are communicated prior to engagement and documented in invoices or service agreements.
- Payments are processed through Stripe. By making a payment, you also agree to Stripe's Terms of Service.
- Invoices are due within the payment terms specified (default: 30 days from invoice date).
- Late payments may incur additional fees as specified in your service agreement.
- Refunds are handled on a case-by-case basis. Contact us to discuss refund eligibility.
5. AI-Powered Services
Our services use artificial intelligence and machine learning technologies. You acknowledge that:
- AI Assistance, Not Replacement: AI-generated outputs (tax analysis, contract drafts, financial reports, lead insights) are tools to assist professional decision-making, not substitutes for professional judgment.
- Accuracy Limitations: While we strive for accuracy, AI outputs may contain errors. You are responsible for reviewing and verifying all AI-generated content before relying on it.
- Human Oversight: Critical decisions (tax filings, legal agreements, financial commitments) should be reviewed by qualified professionals.
- Local Processing: Our AI systems process data locally on our infrastructure. Client data is not sent to third-party AI providers unless explicitly configured and disclosed.
6. Data Handling and Privacy
Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. Key points:
- Financial data is processed locally and encrypted in transit (TLS 1.2+).
- We do not sell, rent, or trade your personal information.
- Bank connectivity (via Plaid) and payment processing (via Stripe) are subject to those providers' respective terms and privacy policies.
- You may request data deletion at any time by contacting us.
7. User Conduct
You agree not to:
- Use our services for any unlawful purpose or in violation of any applicable laws or regulations.
- Submit false, misleading, or fraudulent information.
- Attempt to gain unauthorized access to our systems, networks, or other users' accounts.
- Interfere with or disrupt the operation of our services.
- Reverse-engineer, decompile, or attempt to extract source code from our software.
- Use automated tools (bots, scrapers) to access our services without prior written consent.
We reserve the right to suspend or terminate access for violations of these Terms.
8. Intellectual Property
- Our Property: All CGU software, systems, branding, website content, and AI models are the property of DGP Trust and are protected by intellectual property laws.
- Your Content: You retain ownership of all data, documents, and information you provide to us. By submitting content, you grant us a limited license to process it solely for the purpose of delivering our services.
- AI Outputs: Reports, analyses, and documents generated by our AI tools using your data are owned by you. We retain no rights to your generated outputs after service delivery.
9. Limitation of Liability
To the maximum extent permitted by law:
- CGU provides services on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
- We do not warrant that our services will be uninterrupted, error-free, or completely secure.
- CGU shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.
- Our total liability for any claim arising from these Terms or your use of our services shall not exceed the fees paid by you to CGU in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless CGU, DGP Trust, and their officers, agents, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of our services.
- Your violation of these Terms.
- Your violation of any applicable law or third-party rights.
- Any content or data you submit to our services.
11. Termination
- By You: You may discontinue use of our services at any time. Contact us to close your account and request data deletion.
- By Us: We may suspend or terminate your access at any time for violation of these Terms, non-payment, or at our discretion with reasonable notice.
- Effect of Termination: Upon termination, your right to use our services ceases immediately. We will delete your data within 30 days, except where retention is required by law (e.g., tax records).
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law provisions. Any legal action arising from these Terms shall be brought in the courts located in Marathon County, Wisconsin.
13. Dispute Resolution
Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute within 30 days. If the dispute cannot be resolved informally, either party may pursue legal remedies in accordance with Section 12.
14. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. Material changes will be communicated via email to active clients. Continued use of our services after changes constitutes acceptance of the revised Terms.
